Web Site Design Terms and Conditions
Thank you for your interest in our services. Quintagroup work in a fair and reasonable manner at all times and maintain a great relationship with our clients. It is, however, important to have certain contractual aspects agreed in order to protect both parties. By hiring Quintagroup, and signing up as our Client, you agree to be legally bound by the following terms and conditions. Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
Quintagroup reserves the right to change or modify current terms and conditions at any time by updating this posting.
The project will be run according to the Quintagroup Project Process. In case Quintagroup has produced a specification document for the project then we will work within the time frames scheduled, provided you supply us with the related materials to be incorporated into the web design by the scheduled data collection delivery date.
During the web site design development cycle, Quintagroup may at intervals place versions of the client's web site on one of Quintagroup demonstration servers so that the client may review the web site design progress.
When both Quintagroup and the client agree that the web site meets the criteria agreed upon during the projecting process, Quintagroup will present an invoice to the client for the remainder of the amount due for the project.
Quintagroup cannot always guarantee to start work immediately on a project but will agree to a date with the client as to when work can commence and be completed.
- Limited Usage
- Each individual skin can be used on a single website only. In case another project with the same design is to be make, the client has to purchase the same skin once more.
- The Client is authorized to make any necessary modifications to Plone skin purchased from Quintagroup.
Quintagroup provides Plone skin modifications service as well as maintenance and enhancements services for our clients. However, any maintenance or updates are outside the scope of the design project. When updates are required Quintagroup will provide time and materials based quotes for this work.
- Project Duration
- All Client's complaint concerning developed skin are accepted within 30
days after skin purchase date. If after 30 days the Client has failed
to so respond, Quintagroup will assume the Project complete. At such
time, Quintagroup will have no further obligation to Client, and Client
shall pay Quintagroup all fees and expenses associated with work
performed by Quintagroup.
Ownership (copyright and title) of the final work become the property of the Client, having unlimited, indefinite, and royalty-free use of the image upon payment of all fees. Quintagroup retains rights to display the artwork in portfolio and advertising materials. All concepts, or other preliminary materials, which are not selected by the Client or are not included into the final delivery, remain the full property of Quintagroup.
All material including text, images and code supplied by the client and used in the construction of the client’s website, will remain the client’s property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws. The copyright for any material provided by Quintagroup, such as HTML code, graphics, photographs and text, but excluding software code, will remain the property of Quintagroup until such time as payment has been made in full whereupon they will become the property of the client.
The client will be given access to the source code and may take the code to another developer for purposes of maintaining or extending upon the system.
- Confidentiality and Nondisclosure
- Quntagroup agrees to hold
confidential or proprietary information or trade secrets ("confidential
information") in trust and confidence and agrees that it shall be used
only for the purposes of the web site project, shall not be used for
any other purpose, or disclosed to any third party.
No copies will be made or retained of any written information or prototypes supplied without the permission of The Client. At the conclusion of any discussions, or upon demand by The Client, all confidential information, including prototypes, written notes, photographs, sketches, models, memoranda or notes taken shall be returned to The Client. Confidential information shall not be disclosed to any employee, consultant or third party unless they agree to execute and be bound by the terms of this Agreement, and have been approved by Quintagroup and The Client.
This Agreement and its validity, construction and effect shall be governed by the laws of Ukraine.
- Trademarks and Service marks
- Quintagroup expects the Client to perform researching on their company name to be sure the name is not already in use and securing a trademark or service mark to protect the Client's legal rights to any name or image. Quintagroup is not and will not be held responsible for any legal action that may result from improper due diligence on the availability of a company name or image.
Quintagroup will begin the skin design development process upon receiving the initial payment of 50% of the price for the project. This invoice must be paid prior to the commencement of the project, and will not be refunded . The client will be notified by e-mail immediately upon payment confirmation, thus assigning a designer and confirming the immediate start of the project.
Payment is made through the 2Checkout System, to which client will have access provided upon project acceptance. We request a 50% deposit to start working, the rest is paid upon completion, unless other arrangements have been added and approved.
Once the project is complete and approved by the client the final balance will be invoiced.
If we haven’t received payment for your design development within 15 days after the due date, your website will be switched off until payment is received.
- Refund Policy
- Refunds are not normally available once the initial designs have been created
and supplied to the client, but refunds for incomplete work will be
considered at the discretion of the management.
Once you have purchased a Plone skin from Quintagroup, we cannot offer a refund, which you are held responsible for understanding upon purchase of a Plone skin. The reason for this policy is that Quintagroup provides non-tangible irrevocable goods. All refund requests are accepted within 1 month after purchase. Requests, that were not done within this term will not be satisfied.
